Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the PropConnect platform, website, and related services (collectively, the “Service”) operated by PropConnect (“we”, “us”, “our”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

These Terms are governed by the laws of New Zealand, including the Contract and Commercial Law Act 2017, the Fair Trading Act 1986, and the Consumer Guarantees Act 1993 where applicable.

1. Definitions

  • “Agent” means a real estate professional or business that registers for and uses the Service to create property portals and manage leads.
  • “Buyer” means a member of the public who accesses a property portal created by an Agent.
  • “Portal” means a property-specific landing page created through the Service to host documents and capture lead information.
  • “Content” means any documents, images, text, or data uploaded to or generated within the Service by an Agent.
  • “Subscription” means a paid plan selected by an Agent to access the Service.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into binding contracts to use the Service. By using the Service, you represent and warrant that you meet these requirements. The Service is intended for use by licensed real estate professionals and businesses operating in New Zealand.

3. Account registration

To access the Service as an Agent, you must register an account and provide accurate, current, and complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Notifying us promptly of any unauthorised access or security breach

We reserve the right to suspend or terminate accounts where we reasonably believe credentials have been compromised or the account is being misused.

4. Subscriptions, fees, and billing

Access to certain features of the Service requires a paid Subscription. Current pricing is displayed at propconnect.co.nz and includes:

  • Pay Per Property: NZD $44.95 + GST per property per month
  • Professional Agent: NZD $49.00 + GST per month (unlimited properties)

All prices are in New Zealand Dollars (NZD) and exclude GST unless stated otherwise. GST will be added at the prevailing rate (currently 15%) at checkout.

Subscriptions are billed in advance on a monthly basis. You authorise us to charge your nominated payment method on the billing date. If payment fails, we may suspend access to the Service until payment is received.

Subscriptions automatically renew unless cancelled before the next billing date. You may cancel at any time through your account settings. Cancellation takes effect at the end of the current billing period; no partial-month refunds are provided except where required by the Consumer Guarantees Act 1993.

5. Acceptable use

You agree to use the Service only for lawful purposes and in compliance with these Terms. You must not:

  • Use the Service to collect personal information from individuals without their knowledge or consent
  • Upload documents or content that you do not have the right to distribute (e.g. LIM reports, building reports obtained improperly)
  • Misrepresent your identity or affiliation when operating a Portal
  • Use the Service to send unsolicited commercial communications (spam) to Buyers
  • Attempt to reverse engineer, copy, or create derivative works from the Service
  • Use the Service in a manner that violates the Real Estate Agents Act 2008, the Privacy Act 2020, the Fair Trading Act 1986, or any other applicable New Zealand law
  • Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure
  • Scrape, crawl, or extract data from the Service by automated means without our prior written consent

6. Agent obligations regarding buyer data

When you use PropConnect to collect personal information from Buyers, you become a data controller of that information under the Privacy Act 2020. You agree to:

  • Only use Buyer data for legitimate property-related purposes and in accordance with the purpose for which it was collected
  • Comply with the Privacy Act 2020 in respect of all personal information you collect via Portals
  • Provide Buyers with adequate notice of how their information will be used
  • Not sell, trade, or transfer Buyer data to third parties without appropriate consent
  • Respond promptly and lawfully to any privacy requests from Buyers
Note: PropConnect provides the technical infrastructure for lead capture. We are not responsible for how Agents use, store, or communicate with Buyers after their details are captured. Agents bear sole responsibility for their compliance with New Zealand privacy and real estate legislation.

7. Intellectual property

All intellectual property in the Service — including software, design, trademarks, and documentation — belongs to PropConnect or its licensors. Nothing in these Terms grants you ownership of any part of the Service.

You retain all rights to Content you upload. By uploading Content, you grant PropConnect a limited, non-exclusive, royalty-free licence to host, store, and display that Content solely for the purpose of providing the Service to you. We will not use your Content for any other purpose without your consent.

8. Third-party services

The Service integrates with third-party platforms including but not limited to property listing websites (for automated listing data), Supabase (database), Vercel (hosting), and Resend (email). We use web scraping technology to auto-populate portal details from publicly available listing information.

We are not responsible for the availability, accuracy, or performance of third-party services. Use of those services may be subject to their own terms and privacy policies.

Listing data auto-populated by our AI scraping tool is provided as a convenience and may contain errors. You are responsible for verifying and correcting all property information displayed in your Portals before sharing them publicly.

9. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY NEW ZEALAND LAW, PROPCONNECT DISCLAIMS ALL WARRANTIES INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM USING THE SERVICE WILL BE ACCURATE OR RELIABLE; OR (C) ANY ERRORS IN THE SERVICE WILL BE CORRECTED.

NOTHING IN THESE TERMS LIMITS OR EXCLUDES ANY RIGHTS YOU MAY HAVE UNDER THE CONSUMER GUARANTEES ACT 1993 OR THE FAIR TRADING ACT 1986 THAT CANNOT LAWFULLY BE EXCLUDED.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROPCONNECT'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO PROPCONNECT IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

IN NO EVENT SHALL PROPCONNECT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFIT, LOSS OF DATA, LOSS OF GOODWILL, LOSS OF LEADS, OR BUSINESS INTERRUPTION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Specifically, and without limiting the above, PropConnect is not liable for:

  • The quality or accuracy of leads generated through the Service
  • How Buyers use or misuse documents accessed through a Portal
  • Any failure by an Agent to comply with the Real Estate Agents Act 2008 or Privacy Act 2020
  • Loss of revenue or business opportunities resulting from downtime or technical issues
  • Errors in auto-populated listing data sourced from third-party websites
  • Unauthorised access to Agent or Buyer data resulting from events outside our reasonable control

11. Indemnification

You agree to indemnify, defend, and hold harmless PropConnect, its directors, officers, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the Service in violation of these Terms
  • Your violation of any applicable law, including the Privacy Act 2020 or Real Estate Agents Act 2008
  • Any Content you upload to the Service
  • Your use of Buyer data collected through the Service
  • Any dispute between you and a Buyer

12. Service availability and changes

We will make reasonable efforts to maintain the availability of the Service but do not guarantee uninterrupted access. We may perform maintenance, updates, or modifications that temporarily affect availability. We will endeavour to provide reasonable advance notice of planned downtime where practicable.

We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time. If we make material changes that adversely affect your use of the Service, we will provide at least 30 days' notice.

13. Termination

You may terminate your account at any time by contacting us or using your account settings. Termination takes effect at the end of your current billing period.

We may suspend or terminate your access immediately, without notice or liability, if we determine that you have violated these Terms, engaged in fraudulent activity, or are using the Service in a manner that poses legal or reputational risk to PropConnect or others.

Upon termination, your right to access the Service ceases. We will retain your data for the period specified in our Privacy Policy and may delete it thereafter.

14. Governing law and disputes

These Terms are governed by the laws of New Zealand. Any dispute arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the New Zealand courts.

We encourage you to contact us first to resolve any dispute informally. If a resolution cannot be reached, disputes may be referred to the New Zealand Disputes Tribunal (for claims up to NZD $30,000) or the appropriate New Zealand court.

15. General provisions

  • Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and PropConnect regarding the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right.
  • Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.
  • Notices: Legal notices to PropConnect must be sent to legal@propconnect.co.nz. We may send notices to the email address registered to your account.

16. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified by email to registered Agents at least 14 days before taking effect. Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of those changes. If you do not agree to the changes, you must stop using the Service and cancel your Subscription before the effective date.
